Institutional

A private investor is an investor who does not meet the following criteria for qualifying as an institutional client (semi-professional or professional client). A private investor is thus any natural or legal person who is neither a professional nor semi-professional investor.

A professional investor is:
1.    An authorised legal entity which is subject to regulation allowing it to operate in the financial markets. The following investors generally qualify as professional investors:

a.    Credit institutions
b.    Securities firms
c.    Other authorised or regulated financial institutions
d.    Insurance companies
e.    Undertakings for collective investment and their management companies
f.    Pension funds and their management companies
g.    Commodities traders and commodity derivatives traders
h.    Local investors
i.    Other institutional investors

2.    A large company which fulfils at least two of the following criteria:

a.    Total equity and liabilities:       EUR 20,000,000
b.    Net sales:                              EUR 40,000,000
c.    Equity:                                  EUR 2,000,000

3.    National and regional governments, public bodies that manage public debt, central banks, international and supranational institutions such as the World Bank, the IMF, the ECB, the EIB and other similar international organisations.

4.    Other institutional investors whose main activity is to invest in financial instruments, including institutions that carry out the securitisation of liabilities and other financing transactions.

5.    Those who request classification as a professional client and can be treated as such.

A semi-professional client is:
1.    Any investor:

a.    who commits to investing at least EUR 200,000,
b.    who states in writing in a document separate from the contract on the investment commitment that he is aware of the risks associated with the proposed commitment or investment,
c.    whose expertise, experience and knowledge can be assessed without making the assumption that the investor has the market knowledge and experience of the investors outlined in Annex II, Section I of Directive 2004/39/EC,
d.    for whom, taking into account the nature of the proposed obligation or investment, it can reasonably be assumed that the investor is able to make his own investment decisions and that he understands the risks involved and that such an obligation is appropriate for the investor in question, and
e.    who confirms in writing that the assessment mentioned in letter c has been carried out and the conditions set out in letter d have been met,

2.    An executive or employee of the management company listed in Section 37 (1) of the German Investment Code (Kapitalanlagegesetzbuch), provided he invests in investment funds managed by the management company, or a member of the Board or the Executive Board of an externally managed investment company, provided he invests in the externally managed investment company,

3.    Any investor who undertakes to invest at least EUR 10 million in an investment fund.

Un investisseur individuel, également désigné par le terme client privé, est un client personne physique, personne morale ou toute autre entité qui ne remplit ni les conditions de l’Annexe II de la Directive du Parlement européen et du Conseil concernant les marchés d'instruments financiers (Directive 2004/39/CE) pour être considéré comme un client professionnel, ni celles de l’Article 2 de la Directive dite « Prospectus » (Directive 2003/71/CE) pour être considéré comme un investisseur qualifié.

 

Sur ce site internet, les termes Intermédiaires & Institutions désignent des investisseurs entrant à la fois sous les catégories Client Professionnel et Investisseur Qualifié.

La liste reproduite ci-dessous s’entend comme visant toute entité agréée exerçant les activités caractéristiques des entités citées, qu’il s’agisse d’une entité agréée dans un État de l’Espace économique européen (EEE) ou dans un pays tiers, et indépendamment du fait qu’elle soit agréée sous l’empire d’une directive européenne ou non:

 

(a) les établissements de crédit ;
(b) les entreprises d'investissement ;
(c) les autres établissements financiers agréés ou réglementés ;
(d) les entreprises d'assurance ou de réassurance, les sociétés de groupe d’assurance, les mutuelles et unions de mutuelles ainsi que les institutions de prévoyance ;
(e) les organismes de placement collectif et leurs sociétés de gestion ;
(f) les institutions de retraites professionnelles pour leurs activités de retraite professionnelle supplémentaire et pour leurs opérations de plans d’épargne pour la retraite collectifs, ainsi que les personnes morales administrant une institution de retraite professionnelle;
(g) les personnes dont l’activité principale consiste à négocier pour compte propre des marchandises ou des instruments financiers à terme sur marchandises ;
(h) les autres investisseurs institutionnels agréés ou réglementés.

 

(2) Entités d’une importance suffisante remplissant au moins deux des trois critères suivants : (i) total du bilan supérieur à 43 millions d'euros ; (ii) chiffre d'affaires net ou recettes nettes supérieurs à 50 millions d'euros ; (iii) effectifs annuels moyens supérieurs à 250 personnes.

 

(3) L’État, la Caisse de la dette publique, la Caisse d’amortissement de la dette sociale, la Banque de France, l’Institut d’émission des départements d’outre-mer, l’Institut d’émission d’outre-mer, la Caisse des dépôts et consignations et le fonds de réserve pour les retraites, les États membres de l’Organisation de coopération et de développement économiques (l’« OCDE »), la Banque centrale européenne et les banques centrales des États membres de l’OCDE , les organismes financiers internationaux à caractère public auxquels la France ou tout autre État membre de l’OCDE adhère.

 

(4) Les personnes physiques résidentes d’un État de l’EEE qui autorise que des personnes physiques soient considérées comme des investisseurs qualifiés, dès lors qu’elles ont fait la demande expresse d’être considérées comme client professionnel et investisseur qualifié et qu’elles remplissent au moins deux des trois critères suivants : (i) la détention d'un portefeuille d'instruments financiers d'une valeur supérieure à 500 000 euros ; (ii) la réalisation d'opérations d'un montant supérieur à 600 euros par opération sur des instruments financiers, à raison d'au moins dix par trimestre en moyenne sur les quatre trimestres précédents ; (iii) l'occupation pendant au moins un an, dans le secteur financier, d'une position professionnelle exigeant une connaissance de l'investissement en instruments financiers.

Particuliere beleggers

Een particuliere belegger, ook aangeduid als een retail-cliënt, is een cliëntenorganisatie of individu die niet zowel aan (i) één of meer van de criteria voor professionele cliënten neergelegd in Bijlage II van de Richtlijn betreffende Markten in Financiële Instrumenten (Richtlijn 2004/39/EG) als aan (ii) één of meer van de criteria voor gekwalificeerde beleggers zoals uiteengezet in Artikel 2 van de Prospectus Richtlijn (Richtlijn 2003/71/EG) kan voldoen.

 

Professionele beleggers, intermediairs en institutionele beleggers

Op deze website   worden professionele beleggers, intermediairs en insitutionele beleggers beschouwd als professionele cliënten en gekwalificeerde beleggers.

 

Kort gezegd een persoon die zowel als een professionele cliënt op grond van de Richtlijn betreffende Markten in Financiële Instrumenten als een gekwalificeerde belegger in overeenstemming met de Prospectus Richtlijn kan worden gekwalificeerd, zal in het algemeen aan één of meer van de volgende eisen moeten voldoen:

 

(1) Een entiteit die een vergunning moet hebben of gereglementeerd moet zijn om op financiële markten actief te mogen zijn. De volgende lijst omvat alle vergunninghoudende entiteiten die de karakteristieke werkzaamheden van de genoemde entiteiten uitoefenen, dit zijn ofwel entiteiten waaraan een EER lidstaat of een derde land een vergunning heeft verleend ofwel entiteiten die door een EER lidstaat of een derde land gereglementeerd zijn, op grond van een richtlijn dan wel niet op grond van een richtlijn:

 

(a) een kredietinstelling
(b) een beleggingsonderneming
(c) een andere vergunninghoudende of gereglementeerde financiële instelling
(d) een verzekeringsonderneming
(e) een instelling voor collectieve belegging en de beheermaatschappij daarvan
(f) een pensioenfonds en de beheermaatschappij daarvan
(g) een handelaar in grondstoffen en van grondstoffen afgeleide instrumenten
(h) een plaatselijke onderneming
(i) andere institutionele beleggers

 

(2) Een grote onderneming die voldoet aan tenminste twee van de volgende eisen: (i) een balans totaal van meer dan EUR 43,000,000; (ii) een jaarlijkse netto-omzet van meer dan EUR 50,000,000; (iii) een gemiddeld aantal werknemers gedurende het boekjaar van 250 of meer.

 

(3) Een nationale of regionale overheid, een overheidsorgaan die de overheidsschuld beheert, een centrale bank, een internationale of supranationale instelling (zoals de Wereldbank, het IMF, de ECB, de EIB) of een andere vergelijkbare internationale organisatie.

 

(4) Een natuurlijk persoon woonachting in een staat in de EER die toestaat een natuurlijk persoon als gekwalificeerde belegger te registreren, die uitdrukkelijk heeft verzocht als een professionele cliënt en gekwalificeerde belegger te worden behandeld en die aan tenminste twee van de volgende criteria voldoet: (i) hij /zij heeft in de loop van de voorafgaande vier kwartalen voor het verzoek ten minste 10 omvangrijke transacties per kwartaal op de effectenmarkten verricht, (ii) de omvang van zijn/haar effectenportefeuille bedraagt meer dan EUR 500,000, (iii) hij/zij is ten minste een jaar werkzaam of werkzaam geweest in de financiële sector in het kader van een beroepsbezigheid die kennis van beleggingen in effecten vereist.
